Affiliate Agreement

1. Introduction & Eligibility

This Agreement governs your participation in the ProposalForgeAffiliate Program ("Program"). Through the Program, eligible participants ("Affiliates") may earn commissions by referring new paying customers to ProposalForge.

To be eligible for the Program, you must:

• ▸Have an active ProposalForge account in good standing
• ▸The Program is available to users on all plan tiers
• ▸Be at least eighteen (18) years of age or the age of legal majority in your jurisdiction
• ▸Be legally able to enter into a binding contract

2. Enrollment

Your unique affiliate code is automatically generated when you first visit the Affiliate Dashboard within your ProposalForge account. By accessing the Affiliate Dashboard and using your referral link, you agree to the terms of this Agreement.

• ▸Enrollment in the Program is subject to our approval at our sole discretion
• ▸We reserve the right to reject or revoke affiliate status at any time, with or without cause
• ▸We may request additional information to verify your identity or eligibility before approving your participation

3. Referral Process

As an Affiliate, you will receive a unique referral link that you may share with potential customers. The referral process works as follows:

• ▸Share your unique referral link with prospective users
• ▸Attribution is tracked via a URL parameter when the referred user clicks your link and signs up for a ProposalForge account
• ▸A referral is counted as "qualified" only when the referred user both creates an account AND subscribes to a paid plan
• ▸Referral attribution is determined solely by our tracking systems; we are the final arbiter of referral credit

4. Commission Structure

Commissions are structured in three tiers based on the number of active paid referrals attributed to your affiliate account:

• ▸Commissions are calculated based on the subscription price as displayed on the pricing page at the time of the referred user's purchase
• ▸Commissions are earned on a recurring monthly basis for as long as the referred user maintains an active paid subscription
• ▸Lifetime one-time plans do not generate recurring commissions; a single commission payment may be issued at our discretion
• ▸Tier status is evaluated monthly based on your current number of active paid referrals

5. Payment Terms

• ▸Minimum payout threshold: $50.00 USD. Commissions will not be disbursed until your accrued balance meets or exceeds this amount.
• ▸Payouts are processed on a monthly basis via the payment method determined by ProposalForge (e.g., PayPal, bank transfer, or other supported methods)
• ▸Unpaid commissions below the minimum threshold automatically roll over to the following month
• ▸Affiliates are responsible for providing and maintaining accurate, up-to-date payment information in their account settings
• ▸ProposalForge is not responsible for failed or delayed payments resulting from incorrect payment information provided by the Affiliate

6. Prohibited Referral Methods

The following referral methods are strictly prohibited. Violation may result in immediate termination of your affiliate status and forfeiture of all unpaid commissions:

• ▸Spam or unsolicited bulk email/messages
• ▸Misleading, false, or deceptive advertising
• ▸Self-referral (referring your own accounts)
• ▸Bidding on "ProposalForge" or similar brand keywords in paid search campaigns (Google Ads, Bing Ads, etc.)
• ▸Cookie stuffing or forced clicks
• ▸Incentivized signups (paying or rewarding users to sign up through your link)
• ▸Any method that violates applicable local, state, national, or international laws or regulations
• ▸Misrepresenting your relationship with ProposalForge (e.g., claiming to be an employee, partner, or authorized representative)

7. Commission Adjustments

Commissions previously earned or pending may be adjusted, reversed, or clawed back in the following circumstances:

• ▸Chargebacks initiated by the referred user
• ▸Refunds issued to the referred user
• ▸Subscription cancellations by the referred user
• ▸Disputed transactions related to the referred user's account
• ▸Fraudulent referrals, including referrals obtained through any prohibited method described in Section 6

If a referred user downgrades their subscription or cancels their account, your active paid referral count and corresponding commission tier may be adjusted accordingly. Tier adjustments take effect at the beginning of the next billing cycle.

8. Intellectual Property

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, revocable, non-transferable license to use the ProposalForge name, logo, and approved marketing materials solely for the purpose of promoting ProposalForge in connection with the Affiliate Program.

• ▸You may not modify, alter, or create derivative works from our trademarks, logos, or branding materials
• ▸All marketing materials you create must be accurate, not misleading, and must not disparage ProposalForge or its products
• ▸This license terminates automatically upon termination of your affiliate status
• ▸All intellectual property rights in the ProposalForge brand, platform, and materials remain the sole property of ProposalForge

9. Term & Termination

This Agreement is effective from the date you enroll in the Program and remains in effect until terminated by either party. Either party may terminate this Agreement at any time by providing written notice to the other party.

Upon termination:

• ▸Earned commissions that meet or exceed the minimum payout threshold ($50.00 USD) will be paid within thirty (30) days of the termination date
• ▸Accrued commissions below the minimum payout threshold are forfeited and will not be paid
• ▸Your affiliate referral links will be deactivated and will no longer track new referrals
• ▸All use of ProposalForge branding, trademarks, and marketing materials must cease immediately

We may terminate this Agreement immediately, without prior notice, if you violate any provision of this Agreement or the Terms of Service.

10. Tax Responsibilities

Affiliates are independent contractors and are NOT employees, agents, joint venturers, or partners of ProposalForge. Nothing in this Agreement creates an employment or agency relationship between you and ProposalForge.

• ▸You are solely responsible for all applicable federal, state, local, and international taxes on commission income earned through the Program
• ▸United States-based Affiliates earning six hundred dollars ($600) or more in commissions in a calendar year will receive a Form 1099-NEC from ProposalForge
• ▸You agree to provide any tax documentation reasonably requested by ProposalForge, including but not limited to a W-9 form (for US Affiliates) or W-8BEN form (for international Affiliates)

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ProposalForge'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL ProposalForge BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, WHETHER ARISING FROM CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ProposalForge HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Modifications

We reserve the right to modify this Agreement at any time. For material changes — including but not limited to changes to commission rates, tier structure, or payment terms — we will provide at least thirty (30) days' written notice via email to the address associated with your ProposalForge account.

Your continued participation in the Program after the effective date of any modifications constitutes your acceptance of the updated Agreement. If you do not agree to the modified terms, you must terminate your participation in the Program before the changes take effect.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the dispute resolution procedures set forth in our Terms of Service.
