Please read these Terms of Service ("Terms") carefully before using ProposalForge("we," "us," or "our") at forgeproposals.com. By accessing or using the Service, you agree to be bound by these Terms.
By creating an account, clicking "Sign in," or otherwise accessing or using the ProposalForgeplatform and related services (collectively, the "Service"), you ("User" or "you") acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree to these Terms, you may not use the Service.
These Terms constitute a binding legal agreement effective as of March 27, 2026 or the date you first access the Service, whichever is earlier.
ProposalForge is a cloud-based document automation platform designed for contractors and tradespeople. The Service enables you to:
Important: ProposalForge is a document automation service. We do not process financial transactions, handle project funds, or act as a payment processor between contractors and their clients. Any financial arrangements between you and your clients are solely your responsibility.
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements. The Service is not directed to individuals under the age of 16.
To access the Service, you must register for an account using a valid email address or a supported third-party authentication provider (currently Google OAuth). You agree to provide accurate, current, and complete information and to update that information to keep it accurate.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@forgeproposals.com if you suspect any unauthorized use of your account.
Each account is for individual use only. We reserve the right to detect and limit the number of free accounts created from the same device or network using device fingerprinting technology. Creating multiple free accounts to circumvent plan limits is prohibited and may result in immediate account suspension.
We reserve the right to suspend or terminate your account at any time, with or without notice, for any violation of these Terms, fraudulent activity, or if we determine, in our sole discretion, that continued access poses a risk to the Service or other users.
ProposalForge offers a free tier that allows you to generate up to three (3) proposals over the lifetime of your account. The free tier does not include email delivery of proposals or invoices. No credit card is required for the free tier.
Paid subscription plans are available as follows (pricing subject to change per Section 4.6):

All billing is handled by Stripe, Inc. By providing a payment method, you authorize Stripe to charge the applicable subscription fee on a recurring monthly or annual basis.ProposalForgedoes not store your credit card information. By subscribing, you agree to Stripe's Terms of Service.
Monthly and annual subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through the billing portal accessible from your account dashboard.
All subscription fees are non-refundable except where required by applicable law. If you cancel your subscription, you will retain access to paid features until the end of the current billing period. We do not provide partial refunds for unused portions of a billing period. For full details, see our Refund & Cancellation Policy.
We reserve the right to change subscription prices. We will provide at least thirty (30) days' notice of any price increase via email to the address on your account. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new price.
You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. For the complete policy, see our Acceptable Use Policy. You may not:
Violations of this policy may result in immediate suspension or termination of your account, without refund.
The Service, including its software, design, user interface, AI prompt systems, templates, and all related materials, is owned by ProposalForge and protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks, logos, or trade names without prior written consent.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a royalty-free, worldwide, perpetual, irrevocable license to use that Feedback for any purpose, including improving the Service, without any obligation to you.
You retain ownership of all content you upload, input, or create using the Service, including proposal text, invoice data, contractor information, and client information ("User Content"). The AI-generated output produced from your inputs is also considered your content for ownership purposes.
By submitting User Content to the Service, you grant ProposalForge a limited, non-exclusive, worldwide license to host, store, process, and transmit your User Content solely to the extent necessary to provide the Service to you (including generating AI outputs, rendering PDFs, and sending emails on your behalf). We do not use your User Content to train AI models.
You are solely responsible for the accuracy, legality, and appropriateness of all User Content. ProposalForge does not verify the accuracy of proposals or invoices you generate and is not liable for any errors, omissions, or disputes arising from your documents.
If you submit a review or testimonial through the Service and grant marketing consent, you authorize us to display that content publicly on our website and marketing materials. You may withdraw this consent at any time by contacting us.
If you believe that User Content on the Service infringes your copyright, please send a notice complying with the Digital Millennium Copyright Act (DMCA) to legal@forgeproposals.com. We will respond to valid DMCA notices in accordance with applicable law.
ProposalForgeuses the Anthropic Claude API to generate proposal text from the information you provide. When you use the proposal generation feature, your input data (including contractor details, client information, project scope, and line items) is transmitted to Anthropic's servers for processing. Please review Anthropic's Privacy Policy to understand how they handle data.
AI-generated proposal content is provided as a drafting aid only. It does not constitute legal, financial, engineering, or professional advice of any kind. You are solely responsible for reviewing, editing, and verifying all AI-generated content before sending it to clients. ProposalForge makes no warranty regarding the accuracy, completeness, or fitness for purpose of any AI output.
ProposalForgedoes not use your User Content or AI inputs to train our own AI models. Anthropic's data handling is governed by their separate terms and privacy policy.
AI proposal generation is subject to rate limits (currently 10 generations per hour per account) to ensure fair use and service stability. Attempts to circumvent rate limits are prohibited.
The Service integrates with the following third-party services to deliver core functionality. Your use of these services is subject to their respective terms and privacy policies:
ProposalForge is not responsible for the availability, content, or practices of any third-party service. We are not liable for any damages arising from your use of or reliance on third-party services.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service ("Confidential Information") and not to disclose such information to third parties except as necessary to perform obligations under these Terms or as required by law.
Your client data, contractor credentials, business templates, and proposal content are your Confidential Information. Our pricing algorithms, system architecture, and proprietary AI prompt engineering are ours.
These confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party before disclosure; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law or court order.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROPOSALFORGE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) any defects will be corrected; (c) AI-generated content will be accurate or suitable for your intended use; or (d) the Service will meet your specific business requirements.
No uptime or availability guarantee is provided unless expressly stated in a separate written agreement signed by an authorized ProposalForge representative.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROPOSALFORGE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO PROPOSALFORGE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain liabilities, so some of the above limitations may not apply to you.
You agree to defend, indemnify, and hold harmless ProposalForgeand its officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
We reserve the right to assume exclusive control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting available defenses.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
Before initiating any formal dispute, you agree to contact us at legal@forgeproposals.com and attempt to resolve the dispute informally. We will try to resolve any dispute within thirty (30) days.
If informal resolution fails, you and ProposalForgeagree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration under the rules of the American Arbitration Association (AAA), rather than in court. The arbitration shall take place in Florida or via video conference, and the arbitrator's decision shall be final and binding.
YOU AND PROPOSALFORGE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
We may update these Terms from time to time. When we make material changes, we will provide at least thirty (30) days' advance notice by sending an email to the address on your account and by updating the "Last Updated" date at the top of this page.
Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.
