End-User License Agreement

1. License Grant

Subject to your compliance with this EULA and your active subscription, ProposalForge grants you a non-exclusive, non-transferable, revocable, limited license to access and use the ProposalForge platform via a supported web browser for your internal business purposes.

This license is conditioned upon your adherence to all terms set forth herein and in our Terms of Service. Any violation of these terms may result in immediate revocation of this license.

Important: This is a license to use the Service, not a sale of software. No ownership rights in the platform are transferred to you under this EULA.

2. Scope of License

This license covers access to the ProposalForge web application only. The scope of your license is defined as follows:

• ▸Access is limited to the ProposalForge web application — no downloadable software or installable components are included
• ▸Access is provided via supported web browsers over the internet
• ▸The license is personal to your account and the organization associated with your account
• ▸You may not share your credentials or provide access to unauthorized users
• ▸Your license scope is determined by your active subscription plan

No rights are granted to access backend systems, APIs, databases, or infrastructure beyond the web-based user interface provided by ProposalForge.

3. Restrictions

Under this EULA, you expressly agree that you will NOT:

• ▸Reverse engineer, decompile, disassemble, or attempt to derive the source code of the platform
• ▸Copy, modify, adapt, or create derivative works based on the platform or any part thereof
• ▸Sublicense, rent, lease, sell, distribute, or otherwise transfer your license to any third party
• ▸Remove, obscure, or alter any proprietary notices, labels, or marks on the platform
• ▸Use the platform to build, train, or improve a competing product or service
• ▸Access the platform by any automated means (bots, scrapers, crawlers) except through approved integrations
• ▸Circumvent, disable, or interfere with any technical restrictions, security measures, or access controls

Violation of any of these restrictions constitutes a material breach of this EULA and may result in immediate termination of your license and account, in addition to any other remedies available to us under applicable law.

4. AI-Generated Content

Ownership of Output: You own all proposals, invoices, estimates, and other documents generated through the platform using your input data. ProposalForge retains no ownership rights to your AI-generated output.

Service Improvement: We may use anonymized and aggregated usage patterns to improve AI model performance. No identifiable user data, business information, or document content is used for this purpose.

Your Responsibility: You are solely responsible for reviewing, verifying, and approving all AI-generated content before sending it to clients. AI-generated proposals, estimates, and other documents may contain inaccuracies, and you should always review them for correctness before use.

ProposalForge makes no warranties regarding the accuracy, completeness, or suitability of AI-generated content for any particular purpose. See Section 11 (Warranty Disclaimer) for full details.

5. Subscription Tiers & Feature Access

Access to platform features is gated by your subscription plan. ProposalForge currently offers the following tiers:

• ▸Free — Limited access with basic proposal features
• ▸Starter — Expanded proposal and invoice capabilities
• ▸Pro — Full feature access including advanced AI generation and templates
• ▸Business — Team collaboration, org management, and priority support
• ▸Lifetime — Permanent access to Pro-tier features with a one-time payment

Your license scope matches your current plan level. Upgrading your plan expands your access to additional features; downgrading or cancellation restricts features to the applicable tier.

6. Data Ownership

You retain full ownership of all business data, client data, proposals, invoices, estimates, line items, contractor profiles, and templates you create within the platform. ProposalForge claims no ownership over your content.

You grant us a limited, non-exclusive license to process, store, and transmit your data solely for the purpose of providing the Service. This license terminates when your account is closed and your data is deleted per our retention schedule.

7. Intellectual Property

ProposalForge and its licensors retain all rights, title, and interest in and to the following:

• ▸The platform and user interface design, including layout, visual elements, and interactions
• ▸Underlying algorithms, AI prompts, and machine learning models
• ▸Default templates, sample content, and pre-built configurations
• ▸Branding assets, including the ProposalForge name, logo, and design system
• ▸Documentation, help content, and marketing materials
• ▸All improvements, modifications, updates, and derivative works of the above

Nothing in this EULA transfers any intellectual property ownership to you. All rights not expressly granted herein are reserved by ProposalForge.

8. Updates & Modifications

We may update, modify, or discontinue any features or functionality of the platform at any time without prior notice. This includes changes to the user interface, available features, API integrations, and underlying technology.

We will make reasonable efforts to notify you of material changes that significantly affect your use of the Service, including via in-app notifications or email.

• ▸New features may be subject to additional or modified terms
• ▸We are not obligated to maintain backward compatibility with previous versions
• ▸Continued use of the platform after changes constitutes acceptance of those changes
• ▸If you disagree with any modifications, your sole remedy is to discontinue use and close your account

9. Third-Party Components

The platform integrates with and relies upon third-party services to deliver its functionality. These include, but are not limited to:

• ▸Stripe — Payment processing and subscription billing
• ▸Google — OAuth authentication and sign-in
• ▸Anthropic Claude — AI-powered proposal and document generation
• ▸Resend — Transactional email delivery
• ▸Open-source libraries — Various community-maintained packages

These third-party services are subject to their own respective license terms, privacy policies, and terms of service. ProposalForge is not responsible for the availability, performance, or actions of third-party services.

10. Termination

This license terminates automatically when your account is closed or when this EULA is terminated by either party. We may terminate your license immediately if you breach this EULA or the Terms of Service.

Upon termination of this license:

• ▸Your license to access and use the platform ends immediately
• ▸You should export any data you wish to retain before account closure
• ▸We will retain your data in accordance with the retention schedule outlined in our Privacy Policy
• ▸Re-registration after termination may be denied at our sole discretion

Sections that by their nature should survive termination (including Intellectual Property, Warranty Disclaimer, Limitation of Liability, and Governing Law) shall survive any termination of this EULA.

11. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. PROPOSALFORGE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THAT ANY DEFECTS WILL BE CORRECTED OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

AI-GENERATED CONTENT IS PROVIDED WITHOUT WARRANTY OF ACCURACY OR COMPLETENESS. YOU ACKNOWLEDGE THAT AI OUTPUT MAY CONTAIN ERRORS AND THAT YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ALL GENERATED CONTENT BEFORE USE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROPOSALFORGE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS EULA SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO PROPOSALFORGE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL PROPOSALFORGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

13. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict-of-law principles.

Any disputes arising out of or related to this EULA are subject to the dispute resolution provisions set forth in our Terms of Service (Section 14: Dispute Resolution).
